B2B Platform Terms and Conditions

These Terms and Conditions define the general terms, rules, and method of sale conducted by NORGPOL Sp. z o.o. via the B2B Platform available at https://cglass.pl, hereinafter referred to as the “B2B Platform”, as well as the rules for the provision of free electronic services.

§ 1. Definitions

  1. Service Provider - NORGPOL Sp. z o.o., ul. Baletowa 104, 02-867 Warszawa, NIP: 9511767374, REGON: 012844970, entered into the register of entrepreneurs of the National Court Register maintained by the District Court for the capital city of Warsaw in Warsaw, XIII Commercial Division of the National Court Register under number 0001093448, e-mail: contact@cglass.pl.
  2. Delivery - an activity consisting in delivering the Goods specified in the order to the Customer by the Seller via the Carrier.
  3. Carrier - a courier company or another entity cooperating with the Seller in the scope of Delivery of Goods or the Seller’s own transport.
  4. Password - a sequence of letters, numbers or other characters set by the Customer during Registration, used to secure access to the Customer Account.
  5. Customer - a natural person, legal person or organizational unit without legal personality, to which the law grants legal capacity, conducting business or professional activity on its own behalf, excluding consumers within the meaning of Article 22¹ of the Civil Code.
  6. Customer Account - an individual Customer panel on the B2B Platform, activated after Registration and approval by the administrator, enabling the use of Platform functionalities.
  7. Login - an individual Customer designation consisting of a sequence of letters, numbers or other characters, required together with the Password to log into the Customer Account.
  8. B2B Platform - a set of websites available at https://cglass.pl through which the Seller provides Electronic Services and concludes Sales Agreements.
  9. Terms and Conditions - these B2B Platform Terms and Conditions.
  10. Registration - an activity performed by the Customer in accordance with the procedure specified in the Terms and Conditions, necessary to use the full functionality of the B2B Platform.
  11. Goods - a product offered by the Seller for sale via the B2B Platform.
  12. Sales Agreement - a distance sales agreement concluded between the Customer and the Seller via the B2B Platform.
  13. Electronic Services - services provided by the Seller electronically, including maintaining the Customer Account, order processing, providing information about Goods and the newsletter.

§ 2. General Provisions

  1. All rights to the B2B Platform, including economic copyrights, intellectual property rights to the name, domain, code, templates, forms, logotypes, photos and tables, belong to the Seller or entities with whom the Seller has concluded relevant agreements. Their use by the Customer is permitted only to the extent and under the conditions specified in the Terms and Conditions.
  2. The B2B Platform is available via the Internet. Minimum technical requirements are: a web browser with JavaScript enabled, accepting “cookies”, and an active e-mail account.
  3. Use of the B2B Platform is possible after Registration, except for browsing publicly available information about Goods.
  4. The Customer undertakes to use the B2B Platform in accordance with the law, good practices and these Terms and Conditions, in particular to:
    • not interfere with the content, structure, form, graphics or operation mechanism of the Platform,
    • not provide unlawful content, violating personal rights of third parties or the Seller’s interests,
    • not use the Platform for purposes unrelated to its intended use.
  5. The Seller is not liable for technical problems resulting from the Customer’s hardware configuration or telecommunications infrastructure used by the Customer.
  6. The Seller uses “cookies” to improve the functioning of the Platform, verify the offer and for statistical purposes. The Customer may disable “cookies” in the browser, which may, however, hinder the use of the Platform.

§ 3. Registration

  1. In order to create a Customer Account, the Customer submits a request to join the B2B Platform by completing the registration form available at https://cglass.pl.
  2. Registration requires:
    • completion of all fields marked as mandatory,
    • providing true Customer data,
    • acceptance of the Terms and Conditions,
    • consent to the processing of personal data for the purpose of providing services by the Seller.
  3. Submitting the completed registration form is equivalent to:
    • acceptance of the Terms and Conditions,
    • conclusion of an agreement for the provision of electronic services in the scope of maintaining the Customer Account,
    • authorizing the Seller to process the Customer’s personal data for the purpose of service provision.
  4. After submitting the form, the Customer is verified by the Service Provider and, after positive verification, receives confirmation of Registration to the provided e-mail address, which enables access to the Customer Account.
  5. Registration and maintenance of the Customer Account are free of charge.
  6. The Customer is responsible for maintaining the confidentiality of the Password and is obliged to immediately inform the Seller of any suspected breach of Password security.

§ 4. Placing Orders

  1. Information about Goods on the B2B Platform constitutes an invitation to submit offers within the meaning of Article 71 of the Civil Code.
  2. The Customer may place orders 7 days a week, 24 hours a day via the B2B Platform.
  3. The order placement process includes:
    • selecting Goods and adding them to the “Cart”,
    • choosing the Delivery method and payment method,
    • providing Delivery and invoice details,
    • confirming the order via the “Place order” function.
  4. After placing the order, the Seller confirms its receipt and then verifies the availability of the Goods. The conclusion of the Sales Agreement takes place after the Seller confirms acceptance of the order for execution.
  5. In the event of unavailability of the Goods, the Seller will inform the Customer about possible options: order cancellation, partial fulfillment or splitting the order into stages.

§ 5. Payments

  1. Prices of Goods on the B2B Platform are given in Euro (EUR) net, excluding VAT, and do not include Delivery costs, which are indicated during order placement or after.
  2. Available payment methods:
    • bank transfer to the Seller’s account,
    • cash on delivery,
    • cash payment upon personal collection.
  3. Payment should be made within the deadline indicated on the VAT invoice.
  4. In the event of non-payment within the deadline, the Seller may withdraw from the Sales Agreement, informing the Customer via e-mail.
  5. The Seller issues electronic VAT invoices delivered to the Customer’s e-mail address.

§ 6. Delivery

  1. Delivery of Goods is carried out via the Carrier to the address indicated by the Customer.
  2. Delivery times are specified in the Goods description or in the order confirmation.
  3. The Customer is obliged to inspect the shipment in the presence of the Carrier. In case of damage or discrepancies, the Customer has the right to request a damage report.
  4. The Customer may collect the Goods personally on Business Days during opening hours or after prior arrangement.
  5. Delivery costs are borne by the Customer unless agreed otherwise.

§ 7. Complaints and Warranty (Statutory Liability)

  1. The Customer, being an entrepreneur, may submit a complaint regarding the Goods under statutory warranty within one year from the Delivery date, provided that the Seller is notified of the defect within 2 months of its discovery, in accordance with Article 563 § 1 of the Civil Code.
  2. Complaints should be submitted in writing to the Seller’s office address (ul. Baletowa 104, 02-867 Warszawa) or electronically to reklamacje@cglass.pl, attaching proof of purchase, a correctly completed complaint form available from sales representatives, and documents confirming the validity of the complaint (e.g., damage report prepared with the Carrier).
  3. The Customer is obliged to inspect the shipment in the presence of the Carrier. In case of damage or discrepancies, the Customer has the right to request a damage report, which constitutes the basis for handling transport damage complaints.
  4. The Seller considers complaints within 14 business days from the date of receipt of the complaint, whereby the date of receipt is understood as the day of receiving the complained Goods along with complete documentation. The Customer will be informed of the outcome.
  5. If the complaint is accepted, the Seller, in accordance with the Customer’s request, will repair or replace the Goods with defect-free ones or refund the payment within 14 business days from the date of complaint acceptance, in accordance with Articles 560 and 561 of the Civil Code.
  6. The Seller covers transport costs of the complained Goods only if the complaint is accepted. Otherwise, the costs are borne by the Customer.
  7. Goods may be covered by a manufacturer’s warranty. The Customer may submit a complaint directly to the guarantor or via the Seller.
  8. Complaints regarding Electronic Services may be submitted electronically to kontakt@cglass.pl. The Seller considers them within 14 business days.

§ 8. Returns

  1. The Customer, being an entrepreneur, may return the Goods without stating a reason within 30 calendar days from taking possession of the Goods, i.e., from the date of delivery, provided that the Goods have not been used and are in their original packaging.
  2. Goods manufactured according to the Customer’s specification (e.g., cut frames, glass panes with holes made upon request) are not subject to return, in accordance with Article 38 point 3 of the Consumer Rights Act, applied analogously in B2B relations.
  3. To make a return, the Customer must notify the intention to return by sending a correctly completed return form (available from sales representatives) to reklamacje@cglass.pl and send back the Goods to a previously agreed address.
  4. The Seller considers the return request within 14 business days from receipt of the Goods along with the return form. If accepted, the Seller will refund the payment or exchange the Goods (according to the Customer’s decision) within 14 business days from receipt of the Goods or proof of shipment.
  5. Return transport costs are borne by the Customer. In case of damage during return shipment, liability rests with the sender and/or courier company.
  6. Returned Goods must be unused and in original packaging, in a condition allowing further resale.

§ 9. Invoice Corrections

  1. In the event of a positive complaint or return, the Seller will issue a VAT invoice correction within 30 business days from the date of acceptance.
  2. The correction will be sent electronically to the Customer’s e-mail address provided during Registration or order placement.
  3. If an invoice correction is required for other reasons (e.g., incorrect data), the Customer should submit a request to kontakt@cglass.pl providing details.
  4. The Seller will consider the request within 14 business days.

§ 10. Free Services

  1. The Seller provides the following free services:
    • maintenance of the Customer Account, 
    • newsletter.
  2. Services are available 24/7.
  3. The newsletter service requires consent to data processing for marketing purposes. The Customer may unsubscribe via a link in the message or in the Customer Account settings.
  4. The Seller may block access to the Customer Account in case of violation of the Terms and Conditions, actions detrimental to the Seller, or for security reasons, informing the Customer of the reasons.

§ 11. Liability

  1. The Seller is not liable for:
    • technical problems resulting from the Customer’s hardware configuration or telecommunications infrastructure,
    • damage caused by the Customer’s actions inconsistent with the law or these Terms and Conditions,
    • interruptions in Platform operation due to maintenance, modernization or force majeure.
  2. The Seller’s liability towards Customers who are entrepreneurs is limited to intentional damage and actual losses.

§ 12. Personal Data Protection

  1. The controller of personal data is NORGPOL Sp. z o.o.
  2. Personal data are processed for the purpose of order fulfillment, provision of electronic services and marketing purposes (if the Customer has given consent).
  3. The Customer has the right to access, correct, delete data and lodge a complaint with a supervisory authority.

§ 13. Termination of Agreement

  1. The Customer may terminate the agreement for electronic services at any time by requesting deletion of the Customer Account with a 7-day notice period.
  2. The Seller may terminate the agreement in case of violation of the Terms and Conditions by the Customer, with a 7-day notice period.
  3. Termination does not affect ongoing Sales Agreements.

§ 14. Final Provisions

  1. These Terms and Conditions enter into force on 08.01.2025.
  2. The Seller may amend the Terms and Conditions, informing Customers 7 days in advance. Orders placed before changes are processed under previous terms.
  3. Disputes arising from the Terms and Conditions shall be resolved amicably, and failing agreement - by the court competent for the Seller’s registered office, i.e., the District Court for the capital city of Warsaw in Warsaw.
  4. The applicable law is Polish law.
  5. Matters not regulated herein are governed by the Civil Code and other applicable laws.
